Exhibitor Agreement

By submitting an application to exhibit at CATE’s annual convention, you agree to the following terms and conditions. Companies that violate the terms of this Exhibitor Agreement will be ineligible for discounts offered the following year.

Booth Payment

Exhibit booths are assigned on a first-come, first-served based on the date of receipt of payment. Payment by credit card online is preferred, but you may also pay by check. Upon submission of an application to exhibit, you will receive a confirmation page that includes payment instructions.  To pay by credit card, use the link provided on the confirmation page. Payment should be received by CATE by Friday, December 23, 2016.

Booth Assignment

Exhibit booths will be assigned only after receipt of application payment. CATE reserves the right to decline any application or disallow any exhibit which is not in keeping with the character of the convention, to assign exhibitors to the best alternative space in the event that their initial choices are not available, and to make reasonable shifts in location at any time for the benefit of the exhibitor or the betterment of the convention.

Booth Staffing

Printed name badges will be issued for all booth staff. Exhibitors are required to wear their badge at all times. Your booth must be open and staffed at all times during exhibit hours. You will receive an email approximately two weeks prior to the convention asking for the names of your booth staff.

Booth Setup and Teardown

Exhibitors shall NOT set up or tear down their exhibit booth during exhibit hours. Any exhibit booth not occupied by the start of exhibit hours may be cancelled without refund and reassigned by CATE.

Booth Configuration

NO FURNISHINGS are included with your booth space. Each booth is 10’ deep x 10’ wide and includes curtain side rails and backdrop. Booth is not carpeted. A sign with your booth number and company name is provided. Furniture rental and other exhibitor services will be available through Curtin Convention & Exposition Services, Inc. An Exhibitor Service Kit (ESK) will be available approximately 60 days prior to the convention for ordering booth furnishings, carpeting, freight handling, and other services.

Freight Handling Charges

All exhibitors must pay freight handling, unless you can hand carry contents of your booth into the exhibit hall in a single trip by one person per booth without the use of a handtruck, dolly, or cart. The Santa Clara Convention Center is a union labor establishment. Shipment of equipment and supplies must be arranged through Curtin Convention & Exposition Services, Inc. Freight Handling can be ordered using the Curtin Exhibitor Service Kit (ESK), which will be available approximately 60 days prior to the convention.

For the exhibitor’s convenience, an Advance Freight Receiving Warehouse address will be provided in the Curtin ESK. This freight handling service includes receiving your freight at the Curtin Warehouse, storing it for up to 30 days, transporting it to the Exhibit Hall, placing it in your assigned booth space, storing your empty containers during the convention, returning your empty containers at the close of the convention, and assisting with outbound shipping.  Rates for Freight Handling Services are listed in the Curtin ESK.

Curtin Convention & Exposition Services, Inc. will post an Exhibitor Service Kit (ESK) on their website at www.curtinconvention.com.  All confirmed exhibitors will receive an email providing a Username/Password to access the ESK to place orders. The ESK describes your options for ordering equipment and services, such as furniture, labor, plant/floral, computer, audiovisual, electrical, internet access, and telecom. Exhibit Policies

Exhibitors may not sublet or assign any portion of their exhibit booth without prior approval of the CATE Exhibit Manager.

Exhibitors agree to comply with all decisions made by Exhibit Manager.

CATE reserves the right to deny, within its sole discretion and for any reason, participation at the Convention of any exhibitor which CATE deems to be inappropriate for the Convention or which CATE believes would be disruptive to the activities of the Convention.

Exhibitors shall not schedule or promote competing events or activities during the time of the Convention except upon the pre-approval of CATE.

Servicemarks

Exhibitors acknowledge that the term “CATE” and “CATE 2017” and any associated logos are servicemarks of the California Association of Teachers of English. These servicemarks, or any other servicemark owned or controlled by CATE, may not be used by exhibitors except as approved by CATE. Exhibitors may not use any CATE servicemark as a basis for scheduling or promoting any events that would be competitive to the activities of the Convention.

Cancellation Policy

Exhibit booth or advertising reservations may be cancelled if written notification is received by the CATE Exhibit Manager on or before the deadline. In such an event, a refund will be given, minus a $50 cancellation fee. No refunds will be issued for cancellations received after the deadline. Music and Amplification

The use of amplification, recordings, videos, slides, or other audio-visual devices is permissible; however, the sound volume of any such device must not exceed that of normal conversation voice level or be disruptive to neighboring exhibitors.

Security

The exhibit hall will be locked during non-exhibit hours. However, liability for all equipment and materials remains with the individual exhibitor. Security will be provided in the Hyatt Regency Santa Clara and Convention Center.

Solicitation

All demonstrations, solicitations, and interviews must be conducted within your assigned booth space. All exhibitor printed materials, souvenirs, and other articles must be distributed within your assigned booth space. Aisle space must be kept clear to permit for a smooth flow of traffic. Distribution of printed materials, souvenirs, and other articles in the registration area, common areas outside the exhibit hall, meeting rooms, or food and beverage areas is prohibited. The operation of lotteries or games of chance is permitted within applicable state and local laws. CATE reserves the right to prohibit the distribution of items it deems objectionable or otherwise inappropriate.

Insurance

All exhibitors are required to sign an Indemnity and Liability Limitation Agreement.

Indemnity and Liability Limitation Agreement

Neither the Convention nor CATE, nor any of their officers, agents, employees, affiliates, or other representatives shall be held liable for, and they are hereby released from liability for, any damage, loss, harm, or injury to the person or property of the exhibitor or any of its officers, agents, employees, or other representatives, resulting from theft, fire, water, accident, or any other cause. The exhibitor shall also indemnify and hold harmless CATE from demands, suits, liability, damages, loss, costs, attorneys’ fees and expenses of whatever kind of nature, including but not limited to, claims of damage or loss resulting from the breach of these terms, conditions and rules, claims of property or personal injury caused by or attributable in whole or in part to any action, or failure to act whether by negligence or otherwise, on the part of the exhibitor or any of its officers, agents, employees, or other representatives, and claims of damage or loss to any third party resulting from an infringement of a copyright or patent or the unauthorized use of a registered trademark or servicemark.

Agreement to Terms

By submitting an application to exhibit at CATE’s annual convention, you are agreeing that your company and all of its representatives and assignees will be bound by the terms and conditions stated in this Exhibitor Agreement. You also agree to make all exhibit staff aware of this Exhibitor Agreement.
